CUSTOMER & PARTNER AGREEMENTS

Reseller & Downstream Customer Terms

Responsibilities for customers carrying or reselling Traffic for downstream parties.

Effective: September 10, 2026Last updated: September 10, 2026Version 5.2

Defined Terms

Application within Reseller & Downstream Customer Terms. “ARCAMUSA,” “we,” “us,” and “our” mean Arcamusa, Inc., operator of ARCAMUSA Wholesale. “Customer” means the business entity authorized to use the Wholesale Services. “Traffic” means calls, signaling, metadata and related activity submitted to or received from the Wholesale Services. “Caller ID” or “CLI” means calling-party identification information. “Downstream Customer” and “End User” mean persons or entities using services through Customer.

Application within Reseller & Downstream Customer Terms. “Agreement” includes applicable online terms and policies together with any signed MSA, Order Form or Rate Sheet. “CDR” means a call detail record used for operational, billing, reconciliation, security or compliance purposes. Defined terms apply consistently across the Legal & Trust Center unless a document expressly provides a narrower meaning.

Customer Remains Responsible

Customer remains responsible for every Downstream Customer and End User using Customer’s account, whether Traffic is generated directly, resold, aggregated or submitted by another party.

Know-Your-Customer & Records

Customer must conduct appropriate downstream diligence, maintain accurate legal identity, contact, use-case, source, destination and caller-ID authority information, and preserve records reasonably needed for compliance, billing, security and traceback.

Flow-Down Requirements

Customer must impose enforceable obligations consistent with ARCAMUSA’s Acceptable Use, Caller ID, Traffic Integrity, Robocall and emergency-service restrictions. Customer may not authorize conduct prohibited by ARCAMUSA policies.

Traceback & Remediation

Customer must identify relevant downstream sources and provide responsive records when lawfully requested; preserve evidence; stop abusive Traffic; and implement remediation. Failure to cooperate may require restriction of a source, destination, Downstream Customer or entire account.

No Concealment or Misrepresentation

Customer may not use ARCAMUSA to obscure illegal origination, falsify Traffic information or evade traceback. Customer may not make unauthorized statements about ARCAMUSA’s network ownership, regulatory standing, caller authentication, carrier relationships or service guarantees.

Downstream Accountability

Reseller remains responsible for every downstream customer and end user whose traffic reaches the Services, including parties introduced through sub-resellers or technical intermediaries.

Flow-Down Obligations

Reseller must impose enforceable lawful-use, CLI, traffic-integrity, traceback, recordkeeping, security and suspension obligations at least as protective as those applicable to Reseller.

KYB Expectations

Before enabling traffic, Reseller should verify business identity, ownership, representatives, use case, traffic sources and regulatory posture appropriate to risk and jurisdiction.

Traffic Source Visibility

Reseller must be able to identify the immediate source and relevant downstream source of traffic and may not structure routing to conceal origin or frustrate investigation.

Caller ID Evidence

Reseller must ensure downstream parties have lawful authority for caller ID and retain evidence sufficient to answer a substantiation or traceback request.

Traceback Cooperation

Reseller must promptly preserve and produce accurate routing and customer records through the approved channel when responding to a legitimate traceback or lawful inquiry.

Monitoring and Abuse

Reseller should monitor for material deviations, complaints, fraud and prohibited patterns and must investigate credible concerns rather than simply rerouting affected traffic.

Suspension and Remediation

Reseller must be able to restrict a downstream source, prevent re-entry through alternate accounts and document corrective action. ARCAMUSA may protect its network independently.

Representations and Records

Reseller represents that customer and traffic information is accurate and must retain records consistent with its legal and contractual duties.

Regulatory Responsibility

Each party remains responsible for obligations applicable to its own role. ARCAMUSA onboarding does not license, register or certify a Reseller or its downstream customers.

Contract Hierarchy & Related Documents

These terms add downstream-customer duties to the Wholesale Terms. A reseller must flow the Caller ID, Acceptable Use, Robocall and Traffic Integrity restrictions into enforceable downstream arrangements, and no downstream contract can reduce the reseller’s obligations to ARCAMUSA.

The reseller remains ARCAMUSA’s contractual counterparty for submitted traffic, invoices, investigations and remediation. A customer-specific order may describe resale scope, but silence in that order does not authorize anonymous sub-resale or remove source-identification and traceback duties.
