Defined Terms
“ARCAMUSA,” “we,” “us,” and “our” mean Arcamusa, Inc., operator of ARCAMUSA Wholesale. “Customer” means the business entity authorized to use the Wholesale Services. “Traffic” means calls, signaling, metadata and related activity submitted to or received from the Wholesale Services. “Caller ID” or “CLI” means calling-party identification information. “Downstream Customer” and “End User” mean persons or entities using services through Customer.
“Agreement” includes applicable online terms and policies together with any signed MSA, Order Form or Rate Sheet. “CDR” means a call detail record used for operational, billing, reconciliation, security or compliance purposes. Defined terms apply consistently across the Legal & Trust Center unless a document expressly provides a narrower meaning.
Eligibility, Authority & Due Diligence
Wholesale Services are intended for approved business, carrier, reseller, service-provider and enterprise use. Customer represents that its authorized representatives may bind Customer and that onboarding, regulatory, ownership, traffic-profile and billing information is accurate and current.
ARCAMUSA may conduct KYB and risk review; request formation, ownership, representative, use-case, origination, destination, caller-ID authority and regulatory records; and decline or condition onboarding where information is incomplete or risk cannot reasonably be managed.
Orders, Service Scope & Interconnection
Service scope is established by the applicable Order Form or other approved service record. Wholesale voice may include SIP interconnection and voice termination subject to technical compatibility, approved source addresses or credentials, traffic authorization, destination availability and network-protection controls.
Customer is responsible for compatible equipment, secure configurations, authentication materials and accurate traffic disclosure. Routes and interconnected networks may change. No permanent route, uninterrupted service, ASR, ACD or service level is promised absent an approved signed SLA.
Traffic, Downstream Users & Caller ID
Customer is responsible for Traffic submitted through its account, including Downstream Customer and End User activity. Customer must flow down applicable use, consent, caller-ID, robocall, traceback and legal requirements and may not conceal origination or downstream identity.
CLI may be used only when assigned to Customer or supported by lawful authority. Customer-supplied CLI does not guarantee any attestation level. Customer must cooperate with validation, traceback and remediation requests.
Robocall, Authentication & Emergency Calling
Unlawful robocalls, deceptive calling and traceback evasion are prohibited. Caller authentication treatment depends on the actual implementation, number authority, call path and applicable requirements. ARCAMUSA does not make a public representation regarding production caller-authentication status beyond its current regulatory filings and documented service implementation.
The Wholesale Services are not authorized for emergency calling unless emergency capability is separately contracted, technically enabled and confirmed in writing. Customer must prevent unsupported emergency use and provide required downstream notices.
Rates, CDRs, Billing & Reconciliation
Applicable rates, rate changes, billing increments, usage measurement, CDR treatment, prepaid balances or credit, taxes, surcharges, disputes and reconciliation are governed by approved commercial documents. CDRs may support rating, invoicing, fraud review and disputes but are not represented as infallible.
No public page establishes deposits, credit limits, payment days, late fees, minimum commitments, refund rights or termination charges. Those matters require approved written terms.
Security, Fraud & Network Protection
Customer must protect credentials and systems, restrict authorized access, report compromise and prevent misuse. ARCAMUSA may investigate anomalies, require information or remediation, restrict destinations or sources, suspend Traffic or terminate access where reasonably necessary to address fraud, abuse, security, legal or network risk.
Data, Confidentiality & Legal Requests
Business, account, CDR, security and compliance information is handled under the Privacy, Information Use, CPNI and Data Processing pages and applicable agreements. Confidentiality, lawful-process response and regulatory cooperation remain subject to applicable law and approved agreements.
Third-Party Networks, Service Changes & Outages
Wholesale Services may depend on independent interconnected networks. ARCAMUSA may change routes, technical methods or service components when reasonably required for interoperability, security, compliance, availability or network management. Planned and unplanned maintenance, destination restrictions and third-party failures may affect service.
Warranties & Disclaimers
ARCAMUSA will provide the Wholesale Services in accordance with the applicable Agreement. Except for an express written warranty in an executed Agreement, and to the maximum extent permitted by applicable law, the Wholesale Services are provided “as is” and “as available.” ARCAMUSA disclaims implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. No statement about route availability, interoperability, call completion, quality or regulatory treatment is a warranty unless expressly stated in an executed Agreement. Non-waivable statutory rights are not excluded.
Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable under these online terms for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenues, goodwill or business opportunity, arising from the Wholesale Services even if advised that such loss was possible. Any monetary cap, exclusion exception or different allocation must be stated in an executed Agreement; where none is stated, liability is determined under applicable law.
Indemnification
Customer will defend and indemnify Arcamusa, Inc. and its personnel from third-party claims, penalties, losses and reasonable costs arising from Customer Traffic, Customer’s or a Downstream Customer’s unlawful conduct, unauthorized Caller ID, breach of the Acceptable Use or Reseller Terms, or infringement caused by materials supplied by Customer. ARCAMUSA must provide reasonable notice and cooperation; Customer may not settle a claim in a manner that admits fault or imposes obligations on ARCAMUSA without written consent. Any reciprocal or additional indemnity is governed by an executed Agreement.
Intellectual Property
Each party retains its pre-existing technology, marks, documentation, data and other intellectual property. Customer receives only the limited, non-exclusive, non-transferable right needed to use authorized Wholesale Services during the applicable service term. Customer may not reverse engineer protected systems, remove notices or use ARCAMUSA marks without written authorization.
Assignment
Customer may not assign the Agreement or transfer an account without ARCAMUSA’s prior written consent, which will not be unreasonably withheld where the proposed assignee completes required diligence. ARCAMUSA may assign an Agreement in connection with a merger, reorganization, sale of substantially related assets or transfer to an affiliate, subject to applicable law and the executed Agreement.
Notices
Formal contractual notices must use the delivery method and address stated in the applicable Order Form or executed Agreement. Operational, security, billing and policy notices may be delivered electronically to Customer’s authorized account contacts. Customer must keep those contacts current. Public website text does not designate an unverified legal-service address.
Amendments
ARCAMUSA may amend online terms prospectively by publishing an updated version and effective date. Changes do not retroactively alter accrued rights and apply to existing service only as permitted by the applicable Agreement and law. A material conflict with an executed Agreement is resolved under the order-of-precedence clause.
Survival
Provisions concerning accrued payment and dispute rights, confidentiality, data protection, intellectual property, disclaimers, limitations, indemnification, records needed for lawful investigations, and any term that by its nature must continue will survive expiration or termination to the extent required to give it effect.
Sanctions & Export Compliance
Each party must comply with trade sanctions and export-control laws applicable to its conduct. Customer must not use Wholesale Services for a prohibited person, entity, territory, destination or transaction and must provide information reasonably requested for screening. ARCAMUSA may reject or restrict activity presenting a sanctions or export-control risk.
Force Majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, excluding payment obligations already due, when the affected party uses reasonable efforts to mitigate and resume performance. Examples may include widespread network failure, natural disaster, war, civil disturbance, labor disruption, governmental action or failure of essential third-party infrastructure.
Eligibility and Business Use
Access is limited to approved organizations and authorized representatives acting for legitimate business purposes. A person accepting an Agreement represents that the person has authority to bind the identified organization and will not obtain access for an undisclosed party.
KYB and Onboarding
Customer must provide accurate legal identity, ownership, control, contact, regulatory and use-case information reasonably requested for onboarding. ARCAMUSA may verify information against reliable sources, request clarification and reassess the relationship when risk, ownership, traffic or law changes.
Account Security
Customer controls its users, systems, credentials, certificates, IP addresses and connected equipment. Customer must use appropriate access controls, promptly remove unauthorized users, protect authentication material and notify ARCAMUSA through an approved channel if compromise is suspected.
Orders and Activation
An inquiry, test or website submission is not an accepted Order. Service scope and activation arise only through an approved commercial document or other written confirmation by authorized representatives, after required business, compliance and technical reviews are complete.
Service Scope
Wholesale Services are limited to the functions, destinations, traffic types and configurations approved for Customer. Features shown on the website are informational and do not expand an Order, Rate Sheet or privately issued technical profile.
SIP Interconnection
Customer must follow the signaling, media, numbering, security and interoperability requirements issued for its connection. Production addresses, credentials and routing instructions are confidential and may not be shared with downstream parties unless expressly authorized.
Customer Equipment
Customer is responsible for the configuration, security, compatibility, maintenance and lawful operation of its PBX, SBC, network and connected systems. ARCAMUSA is not responsible for failures caused by Customer equipment or networks outside ARCAMUSA control.
Traffic Profile Disclosures
Customer must accurately describe traffic source, purpose, destination mix, expected volume, concurrency, CPS, average duration and material peak patterns. Customer must coordinate material deviations because undisclosed changes may affect capacity, routing, fraud controls or compliance review.
Downstream Customers
A Customer serving downstream parties remains responsible for their traffic and conduct. Customer must conduct appropriate diligence, maintain traceable records, impose protective obligations and provide source information reasonably needed for investigation or lawful traceback.
Caller ID Authority
Customer may submit only caller identification it is lawfully authorized to use and must preserve evidence of that authority. Customer may not mislead recipients, conceal traffic origin, impersonate another party or interfere with validation and authentication.
Caller Authentication
Caller-authentication treatment depends on the verified calling relationship, technical facts and applicable rules. No Agreement or website statement guarantees a particular attestation, signing result, display treatment or downstream acceptance.
Caller Authentication: review and closure. The matter is not closed until the responsible party has maintain an authorized number inventory, record the source and scope of authority, and stop presentation when assignment or permission changes. Closure may be documented through number-assignment records, authorization documents, downstream assignments, representative CDRs and the outcome of any validation. ARCAMUSA may reopen review if later traffic or reliable information materially contradicts the basis for closure.
Robocall Mitigation
Customer must maintain controls appropriate to its role to prevent unlawful robocalls and unlawful spoofing. It must respond to credible concerns, preserve relevant records, cooperate with remediation and prevent suspended or rejected traffic from returning through another route.
Customer-facing effect of Robocall Mitigation. The customer must preserve responsive routing and customer records, verify the requesting channel, provide accurate scoped information and prevent investigated traffic from re-entering through another path so that downstream parties, recipients and networks are not misled about the approved terms arrangement. Useful substantiation includes request identifiers, authority verification, timestamps, source and destination records, preservation actions, responses and corrective measures; internal thresholds or unrelated confidential records need not be published.
Emergency-Service Limitation
Unless an accepted service document expressly states otherwise, Customer must not represent the Wholesale Services as a replacement for emergency-capable service or route emergency calls. Customer remains responsible for accurate disclosures and compliant emergency arrangements for its users.
Acceptable Use and Integrity
The Acceptable Use, Caller ID, Voice Traffic, Traffic Integrity and Robocall policies are incorporated into the Agreement. Customer must supervise its users and downstream relationships and must not use technical or commercial arrangements to avoid those controls.
Fraud and Network Protection
ARCAMUSA may investigate anomalous signaling, credential abuse, artificial traffic, pumping, Wangiri, unusual destinations, short-duration patterns and other threats. Protective action may include authentication challenges, rate limits, route restrictions, rejection, suspension or termination proportionate to the risk.
Rate Sheets and Pricing Changes
Rates and destination availability are governed by the applicable accepted Rate Sheet, Order Form or other approved commercial notice. Website content is not a rate quote. Changes apply only through the method and timing established in the controlling commercial documents.
Billing Measurement and CDRs
Usage measurement and CDR treatment follow the applicable commercial documents and service records. Customer should maintain its own records, reconcile usage promptly and identify a disputed call set with sufficient detail for a reasonable investigation.
Taxes, Fees and Disputes
Taxes, assessments, pass-through charges and payment obligations apply only as established by the controlling Agreement and applicable law. This page does not create payment periods, late fees, deposits, credits or billing increments that have not been separately approved.
Suspension and Termination
ARCAMUSA may restrict or suspend affected service to address credible fraud, abuse, security, legal, regulatory, network or nonpayment risk as permitted by the Agreement. The scope and duration should reflect the circumstances, while urgent threats may require immediate protective action.
Regulatory Cooperation and Traceback
Customer must cooperate with lawful regulatory inquiries and legitimate traceback requests, identify the source and destination of relevant traffic, preserve supporting records and provide accurate information through the designated private channel.
Confidentiality
Each party must protect nonpublic business, technical, pricing, security and customer information received under the relationship according to the controlling Agreement. Confidentiality does not prevent disclosures authorized by the owner or required by valid legal process.
Privacy, CPNI and Data Security
Each party is responsible for its privacy and data obligations. Customer must have authority to provide data used for service, and both parties must apply the specific Privacy, CPNI and Data Processing terms to the extent those regimes and documents apply.
Customer Representations
Customer represents that its information is accurate, its use is lawful, it holds necessary permissions and it will honor the rights of call recipients and downstream users. Repeated inability to substantiate these representations may affect continued eligibility.
Customer Representations: review and closure. The matter is not closed until the responsible party has identify the responsible owner, document the applicable facts and approval basis, maintain records adequate to demonstrate performance, and correct a material departure after notice or discovery. Closure may be documented through the governing document, dated decision record, responsible personnel, supporting communications, exceptions and completed corrective action. ARCAMUSA may reopen review if later traffic or reliable information materially contradicts the basis for closure.
Third-Party Networks and Interruptions
Calls may traverse independent networks and destinations outside ARCAMUSA control. Quality, completion, presentation and availability may be affected by counterparties, public networks, customer systems, maintenance, congestion, blocking or legal restrictions.
Customer-facing effect of Third-Party Networks and Interruptions. The customer must apply only the risk allocation stated in the controlling agreement, preserve non-waivable rights and document the facts connecting the event, claimed loss and requested remedy so that downstream parties, recipients and networks are not misled about the approved terms arrangement. Useful substantiation includes the applicable agreement, incident timeline, third-party dependencies, mitigation steps, notices and substantiated loss or defense records; internal thresholds or unrelated confidential records need not be published.
Warranties and Disclaimers
Except for express commitments in an accepted written agreement, services and website materials are provided on an as-available basis. To the extent permitted by law, implied warranties are disclaimed; no forecast, test, dashboard illustration or informal statement creates a warranty.
Limitation of Liability
Liability limitations, exclusions and any negotiated allocation of risk are governed by the controlling signed agreement. Nothing here excludes liability that cannot lawfully be excluded, and this public page does not invent a monetary cap.
Indemnification
Indemnification duties apply only as stated in the controlling Agreement, including procedures for notice, defense and cooperation. Customer remains responsible for claims arising from unauthorized traffic, unlawful CLI, downstream conduct or materials it supplies where the Agreement so provides.
Intellectual Property
Each party retains its preexisting technology, marks, documentation and other intellectual property. Access to a service does not transfer ownership; Customer receives only the limited rights needed to use the approved service during the relationship.
Force Majeure
Performance may be affected by events beyond reasonable control, including network outages, public emergencies, government action and failures of third-party facilities. Any force-majeure treatment is subject to the controlling Agreement and does not excuse obligations that can reasonably continue.
Assignment, Notices and Amendments
Assignment, formal notice and amendment requirements are governed by the controlling Agreement. Website updates may revise generally applicable online policies prospectively, but cannot silently replace a negotiated term where the agreed order of precedence provides otherwise.
Severability, Waiver and Survival
If a provision is unenforceable, the remaining provisions continue to the extent allowed. A failure to enforce is not a waiver. Provisions concerning accrued payment, confidentiality, records, investigations, intellectual property, risk allocation and other terms that by nature should survive will do so.
Sanctions and Export Controls
Customer must not use the Services in violation of applicable sanctions, export controls or trade restrictions. Customer is responsible for screening its business and use where required and must not direct service to a prohibited party or destination.
Order of Precedence
An accepted Order Form, Rate Sheet or signed agreement controls to the extent it expressly conflicts with general online terms. Product terms and incorporated policies apply to their respective subject matter; no marketing page overrides an accepted commercial document.
Contract Hierarchy & Related Documents
These Wholesale Terms are the general online agreement for approved customers. An executed master services agreement, Order Form or Rate Sheet prevails only for the subject it expressly addresses; the Voice Product Terms govern SIP voice functionality, and the conduct policies govern traffic submitted through that functionality.
A public webpage does not establish pricing, credit, service levels, minimum commitments, venue or dispute procedures. Those commercial terms exist only when accepted by an authorized ARCAMUSA representative in the contractual instrument identified for the customer account.
